These Terms & Conditions govern all use of the Cursebreakers LLC website, products, and services. By accessing or using any part of our website or offerings, you agree to these terms in full.
Definitions
- “We,” “Our,” “Us” refers to Cursebreakers LLC, a New York-registered business entity.
- “Client,” “You,” or “User” refers to any person or organization accessing or using Cursebreakers LLC’s website, products, or services.
- “Services” includes all contracts and offerings by Cursebreakers LLC, including but not limited to design, labor, development, hosting, consulting, and support.
- “Contract” or “Agreement” means any written or digital agreement for services between Cursebreakers LLC and a client.
- “Project” means a scoped work engagement involving services as defined in a contract or invoice.
1. Website Use
1.1 User Types
- Site Visitors: Individuals browsing the website (with or without an active subscription or contract).
- Basic Clients: Users with a project or contract, but no hosting subscription.
- Pro Clients: Users subscribed to Pro Hosting, with access to managed services and prioritized support.
- Enterprise Clients: Users on Enterprise Hosting or custom contracts for advanced, high-value projects.
1.2 Privacy & Data Protection
Cursebreakers LLC complies with applicable data protection laws, including the General Data Protection Regulation (GDPR).
We only collect data necessary for providing services or fulfilling legal obligations.
Personal data is processed lawfully, transparently, and for specific purposes.
We do not sell user data. Third-party services are only used with user consent or contractual necessity.
Users may request access, correction, or deletion of their data at any time.
Data retention is limited to the duration necessary for service provision or regulatory compliance.
Privacy Practices
- What We Collect: Contact information, billing info, technical logs (for support/security), and user-submitted content.
- Why We Collect It: To deliver and improve services, process transactions, provide support, and comply with law.

2. Products & Services
2.1 Contracting & Consulting ("C&C")
2.1.1 Projects & Contracts
- A project proposal (invoice, proof, or mockup) will be created outlining design, development, consulting hours, and total estimated cost.
- Work begins upon receipt of the deposit or applicable subscription fee.
- The remaining project balance is due upon project completion or deployment.

2.1.2 Hosting Tiers
Pro Hosting: $50/month or $500/year.
- Supports static sites and Single Page Applications (SPAs).
- Includes 1 domain and 3 email addresses.
- Applicable only to contracts with a total value not exceeding $4,000.
Enterprise Hosting: $450/month or $4,000/year.
- Supports dynamic sites and platforms with custom APIs, backend integrations, etc.
- Includes up to 3 domains and up to 9 email addresses (3 per domain).
- Required for resource-intensive projects or any hosted contract exceeding $4,000.
Edge cases:
- Cursebreakers LLC may offer a unique agreement if a project's needs are not satisfied by these parameters.
2.2 Billing & Payments
2.2.1 Deposits
Projects require a down payment (deposit or subscription fee) before work begins. Deposit percentages are based on the total cost of the contract.
2.2.2 Billing & Subscriptions
Contract Payments
- Contract balances (minus deposit) are due upon project completion or deployment.
- Invoices are issued digitally via Stripe with payment links and instructions.
- Late payments may incur fees or delay service delivery.
Subscriptions: C&C Pro & Enterprise
- Subscriptions are billed automatically on a monthly or annual basis, depending on the chosen plan and start date.
- Clients must ensure billing details are current.
- Failed or late payments may result in service downgrades or interuptions.
2.2.3 Refunds & Cancellations
Cancellation
- Clients may cancel a subscription at any time by contacting support.
- Cancellation stops future billing but does not refund previous payments.
- Hosted projects may be taken offline if subscription is canceled or unpaid.
Refunds
- Refunds may be offered under limited circumstances when Cursebreakers LLC fails to meet contracted deliverables or SLA's, and after the client has given reasonable notice and opportunity to remedy the issue through proper support channels.
- All deposits and down payments are non-refundable.
3. Legal Terms
3.1 Limitation of Liability
Cursebreakers LLC provides its website, products, and services “as is” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
Cursebreakers LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business interruption, arising out of or in connection with the use or inability to use our services, even if advised of the possibility of such damages.
For design, consulting, development, and related professional services, Cursebreakers LLC makes no guarantees regarding specific outcomes, performance, or results. Clients acknowledge that these services involve subjective judgment and external factors beyond Cursebreakers LLC’s control.
Liability for any claim related to the services or products, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the client to Cursebreakers LLC under the applicable contract.
To the fullest extent permitted by law, these Terms shall be interpreted to preserve their enforceability, and any unenforceable provision shall be severed without affecting the remainder.
Nothing in these Terms shall exclude or limit liability for gross negligence, willful misconduct, or statutory obligations that cannot be limited by law.
3.2 Intellectual Property
All content, code, documentation, designs, and deliverables remain the exclusive property of Cursebreakers LLC unless ownership is expressly assigned to the client in a written agreement.
Clients are granted only the rights specifically outlined in their contract or license; unauthorized use, copying, or distribution is prohibited.
3.3 Governing Law
These terms and all related agreements shall be governed by and construed in accordance with the laws of the State of New York, where Cursebreakers LLC is registered.
3.4 Dispute Resolution
Any disputes, claims, or controversies arising out of or relating to these Terms shall first be attempted to be resolved through informal negotiation. If resolution is not reached, the matter shall be submitted to binding arbitration in New York State, under the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court having jurisdiction.
3.5 International Access
Cursebreakers LLC operates from the United States. If you access our services from outside the U.S., you do so at your own initiative and are responsible for compliance with local laws.
By using our services, non-U.S. users consent to the transfer and processing of their data in the United States, subject to U.S. law.
3.6 Amendments & Updates
Cursebreakers LLC reserves the right to modify or update these Terms at any time.
Updated Terms will be posted on the website with a revised effective date.
Continued use of the website or services after such updates constitutes acceptance of the revised Terms.
Clients will be notified of material changes through reasonable means, such as email or prominent site notices.
